Memorandum of Agreement
between Surin Beach Thai Co., Ltd. (hereafter referred to as “SBT”) and Mr. Mats Rune Anders Rodebjer (hereafter
referred to as “The Lessee”) and Mrs. Eva Elisabeth Rodebjer (hereafter referred to as “The Co-Lessee”)
We are writing in relation to the original 30-Year Land Lease Contract (“the leasing contract”) signed between the
SBT, the Lessee and the Co-Lessee concerning the possibility to transfer the B1 Land Plot to the Lessee and the Co-
Lessee when tand if this is possible according to Thai Law.
SBT is the owner of the “coconut garden”, the main commercial points of which are set forth herein, and when
counter-signed by you this document shall constitute a legal agreement between us.
(i) Option to buy leased land
This irrevocable option offers the Lessee and the Co-Lessee the right to buy the leased plot of land registered under title deed
No 4520, Land serial no. 370, survey page no 1194 and on land title deed no. 4521, Land serial no. 371, survey page no 1195,
Sub-district: Huay Yang, District: Tapsakae, Province: Prachuab Kirikhan attached as document no 4 in the originalleasing
contract, at any point in time during the duration of this option, subject to all and any Thai laws in force at the time of this
request.
All related tax as well as administrative and/or legal expenses for this action shall be borne by the lessee, and/or any person to
whom this right has been transferred. The price of such conversion, to be paid by lessee to the lessor, shall be THB 1(One
Baht).
(ii) The promise of leasing contract renewal
If Thai Law will change during the duration of this contract, and permit longer lease periods than 30 years, the Lessee and Co-
Lessee is entitled to register a new lease with maximum duration according to Thai law
(iii) Term
The Agreement will commence on the day of execution and be a part of the registered 30 year leasing contract
between the parites at the land office.
(iv) Governing law and arbitration
This agreement shall be construed in accordance with the laws of Thailand.
Any dispute arising out of or in connection with the agreement shall be finally settled by a district court of first
instance in Prachuab Kirikhan, Thailand.
