EXPLANATION OF PROBLEMS BETWEEN TRUE HMONG AND KONG PENG VANG.

In May of 2015, my self and two other Hmong men from in Thailand created a company called True Hmong LTD. The objective of the company is to created more jobs and businesses for the hill tribe people in northern Thailand.

One of the main source of our business was to make Hemp as an industrial crop for Thailand and distribute to U.S. market by creating a company in the U.S. as the company that sales all commodities from True Hmong L.T.D..

In the verbal and recorded agreement:

1. All Investments were to split and share cost with 3 partners. Partner 1. Kong Peng Vang( U.S. Citizen ) partner #2. ChanvitFaungfookitchakhan, partner # 3. Methaphan. Investment included every dollar spent from the day we made the businesses and every receipts that spent in the U.S. because we had to traveled to the U.S. to find market for our commodities.
2. Each of the partner shall receive 20,000 shares of the True Hmong L.T.D. after expenses were divided equally and reimbursement were complete. Shares were to recorded in the partners names as stated in the agreement. ChanvitFaungfookitchakhan were to be responsible to hold Kong Peng Vang’s share until he returns and supply the necessary documents in order to receive the shares. Kong Peng Vang made several attempt to receive the shares but the other two partners delayed the process and were not very cooperate. ( please see email documents for proof)
3. Kong Peng Vang’s expenses to the U.S. in the month of June 2015 to September 2015 to be refunded to Kong Peng Vang but again the process got delayed and no expenses were never refunded. In order for Kong Peng Vang to continue to travelled back to America in October 28th , 2015, Kong Peng Vang request True Hmong LTD to refund him $10,000 U.S. dollars because the expenses accrued exceed $20,000.00 of Kong Peng Vang own personal money. President of True Hmong L.T. D. is ChanvitFaungfookitchakhan agreed to the term but he agreed to give to Kong Peng Vang’s as a loan and without certain date of to be paid back. Chanvit also instructed Kong Peng Vang and authorized him to use the paid receipt to be refund from the company Tribal Venture Inc. which Kong Peng Vang’s was the current president of the company. I agreed and went back to the U.S..

In the month of October 2015, the True Hmong LTD partners finally agreed that True Hmong LTD and Tribal Venture Inc will go into a business agreement. The business agreement was to purchase the Hemp from TAK in the amount of $120,000.00 U.S. dollars. The Tribal Venture Inc. needed to show the Thai government ( HRDI) Highland Research Development Institute that Tribal Venture Inc. and True Hmong are serious customers.
When I arrived in the U.S. , the Tribal Venture Inc. also agreed to buy and a contract was established ( please see exhibit ). The team TVI agreed to the term but wanted to sign the contract in Thailand and view the Hemp before final payment. True Hmong then insist that team TVI needed to send a deposit ( please see exhibit), the deposit were sent as in the agreement.
There was another 300,000 additional baht that were sent to True Hmong to pay for company or an expert of Hemp to write a Thai business proposal to submit to the prime minister of Thailand, the goal was to show the Thai government of how profitable Hemp as an industrial crop for Thailand. The Team True Hmong informed Team TVI that they had found a professor whom was an expert in Hemp and also a personal friend of the Prime Minister. They had a huge business event in DoiPui village and all the high government officials attended as well the professor of Hemp. The True Hmong team also informed us that the had made a payment already and that team TVI need to send full payment to make sure True Hmong has enough fund to pay when it is done. Team TVI requested made numerous request of a receipt, whom they paid to, the names of the professor but again the True Hmong team stalled and no response. In addition, there were no receipt for the money that were wired to True Hmong bank account from Kong Peng Vang. ( please see written request)

In December 7, 2015, the Team TVI agreed to go to Thailand and see the operation and discuss the matters because by this time, there were too much disagreement of both companies dealings. Team TVI arrived in Thailand and seen that the True Hmong team particular the president of True Hmong LTD had mislead two very important things for the Team TVI.

1. There was no business proposal written and the Hemp expert doctor was not the person that was going to be the person that was going to write the proposal instead a personal friend of Methaphan. When I sat down with the new proposal writer named “ Dr. Dang”, he informed that he never wrote any business plan or proposal, he does not know anything about Hemp, he has no clue where to begin and needed my help to assist him of writing the
