LEASE AGREEMENT
This Agreement is made and entered into the date of June 3 2015 by and between
TNK Hokuriku Trading Ltd.,a limited company duly organized and the laws of Thailand, with its registered office located at 75/18 Ocean Tower2,16th
Floor,Soi Sukhumvit 19,Sukhumvit Road,Klongtoey Nua,Wattana,Bangkok.
(hereinafter called “the lessor”)and
NOGAMI CORPORATION (THAILAND) CO.,LTD.a limited company and the laws of
Thailand, with its registered office located at 75/18 Ocean Tower 2,16th Floor,Soi
Sukhumvit 19,Sukhumvit Road,Klongtoey Nua,Wattana,Bangkok.
(hereinafter called”the lessee”)
WHEREIN,the both parties agree as follows;
Article 1
The lessor leases the lessee the Premises as below:
7㎡ in 75/18 Ocean Tower2,16th Floor,Soi Sukhumvit 19,Sukhumvit Road,Klongtoey Nua,Wattana,Bangkok.
Articlr 2
The terms of this Agreement is 12 months from June 3st 2015 to 2 June 2016.
Article 3
The monthly rental including building management fee shall be 7,000Baht within 1st ~5th day of each month in advance, it shall be paid through the bank account of the lessor.

Article 4
Upon the execution of this agreement,the lessee agrees to pay a deposit in the amount of 14000Baht as security for any damage to the Premises caused by the gross negligence or willful misconduct of Lessee during the Term(Security Deposit).
The Security Deposit shall be hold by the Lessor throughout the term of this agreement, without bearing any interest.
The Security Deposit shall be returned to the Lessee within 30(thirty)days after the expiration of Agreement,or as soon as the Lessor receives all utilities bills as the case may be,if not applied towards payment of the rent of other indebtedness in arrears or towards damages suffered by the Lessor due to the negligence or misconduct of the Lessee.The Lessor hereby acknowledges receipt of the Security Deposit.
The Security Deposit is not and shall to be a prepayment of any rental nor shall it be raised by the Lessee as a reason or excuse to not paying the rent as stipulated in the agreement.
This agreement shall be legally valid only when the Lessor has received the first payment of rent under Article 3 and the Security Deposit under article 4 from Lessee completely and correctly.
Article 5
Lessee hereby agrees that throughout the Term as follows:
5.1
To keep all floors,walls,ceilings,doors,in or on the Premises in substantially the same condition as at the Commencement Date but allowing for the normal wear and tear for the use during the Term.
5.2
Not allow to smoke inside the room.
5.3
To use the Premises for a office. The Lessee agrees to use the premises for a
Office and legal purpose only and to observe and comply with the terms and conditions stipulated in this agreement, including rules, regulations or notification which are prescribed or may be prescribed by juristic Person of the Building or the Lessor concerning the use of the Premises and building.
5.4
To pay rent punctually and all the services including electricity,water,telephone bills
Internet and Cable TV bill consumed at the Premises by the Lessee during the Term.
If the cable TV and internet is applied in the Premises, the Lessee shall take responsibility for the penalty fee which charge by that Cable Company,TRUE orTOT,
In case Lessee cancels their services before the limited time allowed.
5.5
Due payment will be payable in advance and late payment (more than five days late)
will be subject to 1000Baht (one thousand Baht) per day.
5.6
Not to make any major alteration or addition to the said Premises without previous consent in writing from the Lessor. Any and all major alteration or addition made by the Lessee to the Premises with or without written consent of the Lessor shall become the property of the Lessor.Any fixtures brought into the Premises by the Lessee and either or his employees shall at all times remain the property of the Lessor or the Lessee may remove and restore the Premises to the original condition.
5.7
Not to assign nor sublet the said Premises or any part thereof without prior written
consent of the Lessor.
5.8
Not to do nor permit to be done of the Premises in contravention of Agreement anything which may reasonably be a nuisance or interfere with the quite enjoyment of neighboring properties by their occupants.
5.9
The Lessee is bound to take as much care of the premises as a person of ordinary prudence would take care of his own property.
5.10
To notify the Lessor of any damage or defect at the said Premises of the occurrence of such damage of defect within 7 days. The Lessee shall take a responsibility of any damage to the Premises caused by the negligence or misconduct of the Lessee, the
employees.
5.11
To permit the Lessor or his agent to enter the Premises for a purpose of inspection at all reasonable times during daylight hours with prior notices from the Lessor.
5.12
To permit the Lessor or his agents to show the Premises to perspective tenants or
purchasers at reasonable times with prior notice from the Lessor, especially during
the 30 days before the expiration of this agreement.
5.13
At the expiry the Term or earlier termination of this Agreement, the Lessee will return all Keys and security tag or key card (if have) of the said Premises to Lessor. Loss of the said property will be charged to the Lessee.
Article 6
6.1
The Lessor warrants and guarantees that the Lessor has the absolute right to let the Premises.
6.2
That the Lessee, duly paying the rent, observing and performing several covenants herein contained, shall peacefully hold and enjoy the Premises during the tenure of this agreement whatsoever by the Lessor or their agent.
6.3
To be responsible for maintaining the Premises in good and usable condition and promptly make all repairs upon being notified by the Lessee.
Article 7
The Lessor and the Lessee further agree as follows:
7.1
If the Lessee terminates this Agreement before the expiry date, the Lessor will not
return the full of Security Deposit to the Lessee.
7.2
If the Lessee acts contrary to the terms of the agreement, the Lessor shall notify the Lessee in writing to comply with such provision and terms, and if the Lessee fails to comply, the Lessor may terminate this Agreement and will not return the deposit to the Lessee.
7.3
If the Lessor acts contrary to terms of the Agreement, the Lessee may notify the Lessor to comply with such provisions and terms, and if the Lessor fails to do so,
The Lessee may terminate the Agreement. The security deposit(in Article 4.) will be refunded to the Lessee.
7.4
The Lessee is adjudicated under receivership in the bankruptcy case.
The Lessor has the right to forfeit the Security Deposit(Article 4.)hereof, together with any rent paid by the Lessee.
7.5
All of part the Building is condemned or appropriated or is damaged by fire or by any other causes or is subject to any legal restriction,zoning restriction, expropriation or direction imposed by any government authority.
Article 8
8.1
Upon the expiration date or termination date, the Lessee shall vacate from the Premises and shall deliver the Premises to the Lessor by removing all properties belong to the Lessee within 3 days. The Lessee expressly agrees not to demand for any compensation or expenses concerning with the vacation.
8.2
If such period under 8.1 has elapsed, the Lessee agrees that the ownership in all
properties left in the Premises shall be transferred to the Lessor immediately,and the Lessor shall have the absolute right to do anything with these properties. In the connection, the Lessee undertakes to fully indemnify the Lessor against all costs,losses and damages the Lessor may suffer if any such properties have not been transferred to the Lessor and the Lessee has disposed of or caused damage to the properties or if the Lessee fails to vacate from the Premises with the time specified above.
Article 9
9.1
The acceptance of rent by the Lessor shall not be deemed to operate as a waiver by the Lessor to precede the Lessee in the event of a breach by the Lessee of any its covenants,restrictions,stipulations and conditions herein contained.
9.2
If any terms and conditions of this agreement become void or unenforceable under the laws, both parties hereto agree that other terms and conditions hereof shall remain in full force in accordance with the intention of both parties.
9.3
This agreement shall be governed by Thai laws.
This agreement is made in duplicate, both parties have read and fully understood its contents and agree to comply with its terms and conditions.
