1. The undersigned THAI TOYO DENSO CO. LTD, SILOM ROAD, , 10500, BANGKOK METROPOLIS, AMPUR KABINBURI , THAILAND (hereinafter "Supplier"), hereby declares to supply regularly to Honda Motor Europe Logistics NV. and/or its affiliates (hereinafter "Purchaser"), a series of goods (hereinafter "parts") used by Purchaser as service parts for the aftermarket or as accessories for motorcycles.

2. Supplier hereby declares that all parts supplied to Purchaser are, at all times during their lifecycle, in compliance with the Honda Chemical Substances Management Standard (HCSMS) and any global environmental laws, including but not limited to ELV (automotive only), REACH, WEEE, RoHS (power equipment only), Biocidal Products Regulation, Batteries Directive, Conflict Minerals, as amended.

3. Supplier further undertakes to ensure that data submitted to Honda is accurate and representative of the part or product supplied and that they will inform promptly Purchaser of any change in the nature or composition of the parts, irrespective of whether that has a relevance under the above-mentioned laws.

4. Under no circumstances will Purchaser be held responsible or liable for any actions, sanctions, damages and/or lost profits of any kind, including product recalls, taken in relation to the non compliance of component parts supplied to them by Supplier.

5. To that effect, Supplier hereby irrevocably declares and undertakes to indemnify and hold Purchaser and any other legal entity controlled by or controlling Purchaser, harmless from and against any and all actions and/or sanctions arising as a direct or indirect result of non compliance with the HCSMS and any global environmental laws, including but not limited to ELV (automotive only), REACH, WEEE, RoHS (power equipment only), Biocidal Products Regulation, Batteries Directive, Conflict Minerals, as amended, as well as any and all claims, demands, sanctions, causes of action of any kind or character, including the cost of defense thereof, arising directly or indirectly in connection with the supply and placing on the market of the parts.
