Clause 3.02 - No power to enter into binding agreements
It is agreed and understood that the agent has no authority or power to bind the Principal, or to contact in the name of, and to create liability against, the Principal in any way or for any purpose.
In particular, no order acceptance or other commitment can be made by the agent in the name of the principal without the principal’s prior written confirmation of his acceptance of the technical specifications of the ordered Product and other conditions of sale such as price, conditions of payment, packaging, quantities and delivery dates.
The relationship between the parties shall not be deemed to be that of employer/employee, joint venture, partnership or otherwise.
It is the Agent duty when dealing with third part to act in such manner as to avoid any ambiguity and dispute as to the source, nature and extent of his authority.
