C. If due to the adoption or change in any applicable law (or in the application or official
interpretation of any applicable law), or any directive or requirement (whether or not having
the force of law) of any regulatory authority/or agency after the date this contract is entered
into, a party's performance hereunder would contravene such law, directive or requirement
or require a party to make any deduction or withholding on account of any tax form any sum,
paid or payable under this contract (each, a "Changed Circumstance"), that party (the "Affected
Party") shall use all reasonable endeavours to avoid contravention by making reasonable
alternative arrangements including, without limitation, having this contract relate to another
office. If no such arrangements are made, or if such arrangements are ineffective to avoid
contravention, the Affected Party may by written notice terminate and/or liquidate, this
contract and any similarly affected financially settled derivative transactions. If the Change
affects both parties, each party shall use all reasonable endeavours to avoid contravention by
making reasonable alternative arrangements including, without limitation, having this contract
relate to another office failing which, if both parties are unable to implement alternative
arrangements to avoid contravention, either party may by written notice to the other terminate
and, as relevant, liquidate this contract and any similarly affected financially settled derivative
transactions whereupon the provisions of the "Termination and Liquidation" clause shall be
applicable.
