I understand that you have sent the Notice of EGM for Generali Insurance (Thailand) Public Company Limited to Generali Asia N.V. For the benefit of all parties, kindly translate it in English so that all parties understand the documents prior to signing. Kindly clarify the following items:
a. Is it an “Extra Ordinary General Meeting of Shareholders” or “Annual Ordinary General Meeting of Shareholders” because it is indicated in the proxy form as “Annual Ordinary General Meeting of Shareholders”?
b. Who are you proposing as proxy for Generali Asia N.V.? It is advisable to nominate someone if you have not done so. Local management should attempt to complete the documents such as proxy form as much as possible because the information such as shareholding, voting rights, etc. is available locally.
c. I also noted that the proposed increase of registered capital is Baht 300m. Have you checked with Finance whether it is sufficient based on SP 2014-16? Is there cost implication if the company increases the registered capital higher so that it can accommodate the capital infusion for the next three years (instead of repeating this process yearly)?
