MASTER DRILLING FLUIDS ENGINEERING SERVICES AGREEMENT

THIS AGREEMENT, made and entered into this 1st April 2014, by and between M-I SWACO (THAILAND) LIMITED (Hereinafter referred to as “M-I SWACO”), with an address of 555 Rasa Tower, 11th Floor, Phaholyothin Road, Chatuchak, Bangkok 10900, Thailand and Sparsholte Holdings Limited (hereinafter referred to as “Engineering Company”), with an address of P.O. W I T N E S S E T H:
WHEREAS, M-I SWACO is in the business of providing drilling fluid engineering services to its customers, hereinafter referred to as “Customers”, who are engaged in the oil and gas recovery business; and
WHEREAS, from time to time M-I SWACO may provide said drilling fluid engineering services through Engineering Company pursuant to the terms hereof;
NOW, THEREFORE, in consideration of the premises and the mutual provisions hereinafter set forth, the parties agree as follows:
I.

From time to time during the term hereof M-I SWACO may engage Engineering Company to perform drilling fluid engineering services on its behalf for Customers pursuant to the terms and conditions hereof.
II.
This Subcontract does not obligate M-I SWACO to order services from Engineering Company nor does it obligate Engineering Company to provide services to M-I SWACO, but in the event the parties agree that Engineering Company shall provide services to M-I SWACO then this Subcontract shall govern and control all services so provided. Should any oral or written orders, contracts or agreements between the parties covering the services performed by Engineering Company for M-I SWACO conflict with the terms and provisions hereof then this Subcontract shall govern and control to the extent the same are in conflict.
III.
To initiate such services, M-I SWACO and Engineering Company shall sign the work order containing additional terms and conditions, as set forth in Exhibit “A” attached hereto and made a part hereof for all purposes.
IV.
M-I SWACO shall pay Engineering Company a service fee per Engineering Company day, or a monthly stand by rate, all as specified in the said work order.
V.
All services performed by Engineering Company shall be performed as an independent contractor and shall meet with M-I SWACO’s approval, but the detailed manner of performing the services shall be under the control of Engineering Company, M-I SWACO being interested only in the results obtained. All of Engineering Company’s services performed hereunder are those of an independent contractor and neither its employees, agents, contractors nor subcontractors may be considered employees or agents of M-I SWACO.
VI.
Engineering Company warrants and represents that it is fully qualified to perform drilling fluid engineering services hereunder and that it is fully familiar with M-I SWACO’s drilling fluid product line and the material data safety sheets associated therewith and that it will perform the services hereunder in a professional, good and workmanlike manner in strict conformity with generally accepted standards for drilling fluid engineering services in the oil and gas industry.

VII.
M-I SWACO will furnish the drilling fluids testing equipment, spare parts, expendable supplies and ancillary testing tools necessary to perform the services hereunder.
VIII.
Engineering Company may avail itself of all living accommodations, meals and laundry facilities provided by the Customer while Engineering Company is on the drilling location. Otherwise, Engineering Company shall provide the same at Engineering Company’s own cost.
IX.
9.1
M-I SWACO will provide transportation expenses (all airfares plus ground transportation to and from the airport for domestic), visa & work permit, PPE, Medical check-up, HUET training, Hotel , Expenses & etc for Engineering Company. Engineering Company will provide insurance coverage (hospitalization & life insurance) and overseas ticket from point of origin and return.
9.2
All customs duties, fees and taxes on equipment necessary to perform the work hereunder and clearance of such equipment coming both into and out of the country of M-I SWACO’s operation, will be borne by or be for the account of M-I SWACO.
9.3
M-I SWACO is agrees to reimburse Engineering Company for any excise, sales or use taxes or taxes of a similar nature (except income taxes) which might be imposed under the law of the government of the area in which Engineering Company is required to work. The amount of such taxes shall be included on invoices or statements submitted to M-I SWACO by Engineering Company and M-I SWACO agrees to remit payment of same to Engineering Company at the same time and the same manner as specified by Engineering Company for payment of the service fee. Engineering Company agrees to timely pay such taxes and on request by M-I SWACO to supply it with verification of the same. In the event M-I SWACO is required by the laws of the government of the area in which Engineering Company is required to work to pay such taxes and deduct the payment of the same from the amount of Engineering Company’s invoice, M-I SWACO will furnish Engineering Company with an official tax receipt verifying payment.
X.

10.1
Both parties recognize that under the Double Tax Agreement between Thailand and Australia, Canada, Singapore, India, Hong Kong, Romania, and the United States, contract revenues earned by Engineering Company should not be subject to Thailand Withholding income tax.
However, if after the date hereof any such withholding is required by M-I SWACO based on any action or notice by any taxing Governmental Instrumentality or any new (or change in any existing) applicable law or regulation or the interpretation thereof by any Governmental Instrumentality, M-I SWACO will promptly notify Engineering Company, use its best efforts to provide Engineering Company such documents and other information in connection with such withholding tax changes as the Engineering Company reasonably requests, and make such withholding as directed.
10.2
The Engineering Company shall fully indemnify and hold M-I SWACO harmless from and against any withholding income taxes and penalties suffered, as a result of contract revenues being subject to Thai withholding income taxes.

XI.

Engineering Company understands and agrees that the oil and gas service industry is a highly competitive business the terms of which are dictated generally by the Customers and in that regard Engineering Company understands and agrees that it or its employees may be required to submit to drug tests and searches for contraband, may be obligated to work under rules and regulations adopted by the Customer, and may be replaced at any time if the Customer determines that Engineering Company’s presence is detrimental to Customer’s interests.
XII.
Engineering Company shall not assign or subcontract all or any part of this Agreement without M-I SWACO’s prior written consent. This Agreement may be subcontracted to or may inure to the benefit of any subsidiary of M-I SWACO.
XIII.
All payments herein provided to be made to Engineering Company shall be made in lawful currency of the United States of America and shall be made to Engineering Company at its address first listed above or such other address Engineering Company shall provide to M-I SWACO in writing. All compensation and payments due to Engineering Company hereunder shall be due on or before thirty (30) days after receipt by M-I SWACO of Engineering Company’s statement.
XIV.
Engineering Company warrants and represents that entering into this Agreement will not conflict with any obligations which Engineering Company may have under any other agreement.
XV.
Engineering Company agrees that all mud reports, drawings, designs, computations, calculations, working papers and documents of every kind received or prepared by it pursuant to this Agreement will be and remain the sole property of M-I SWACO and will be delivered to M-I SWACO upon request. M-I SWACO will have full and unlimited right to use all of the same without any claim or right thereto on the part of Engineering Company. M-I SWACO may at all reasonable times inspect, copy and audit Engineering Company’s records concerning the services performed hereunder.
XVI.
Engineering Company agrees that some of the work called upon him to perform hereunder as well as information furnished to him by M-I SWACO in connection therewith is highly confidential. Accordingly, any and all such information developed or secured during the performance of services under this Agreement shall be considered by Engineering Company to be confidential and shall not now or at anytime hereafter be published, stated, or used by Engineering Company for any purposes without M-I SWACO’s prior written consent.
XVII.

Engineering Company shall have the benefit of any indemnity provisions in agreements between M-I SWACO and its Customer which expressly inure to the benefit of subcontractors of M-I SWACO. Otherwise, Engineering Company shall defend, indemnify and hold M-I SWACO and its Customers and its and their employees, harmless from and against any and all claims, causes of action and liabilities of every kind arising out of injury to or death of any person (including Engineering Company and its employees), or loss of or damage to any property in any way connected with this Agreement, regardless of any combination of the sole or concurrent, active or passive negligence of, or breach of duty by, the indemnities. Liability insurance coverage’s shall be furnished by Engineering Company hereunder to support its indemnity obligations hereunder where required by law and, to the extent necessary, said coverage’s shall be limited to that required by law.
