We refer to your question as to whether there are any legal issues with the requirement of only one set of document substantiating signing authority (“Legal Document”) to support both (i) Dealer Sign Up Agreement and (ii) the Power of Attorney for Withholding Tax Agent instead of requiring two sets of Legal Document.
Firstly, in case the documents in (i) and (ii) as well as the Legal Document are submitted as evidence in a court proceeding, there may be an issue if such documents are concurrently required by other authorities such as the Revenue Department because the original documents are held in court. Secondly, we consider that the Dealer Sign Up Agreement is the document which separate from the Power of Attorney for Withholding Tax Agent, therefore the Legal Document should then be provided in two sets to support both documents. In case we request only one set of Legal Document, it may raise an issue as to which of the said document the Legal Document is intended to support.
However, after having a discussion with the Quality Team, we noted that Distribution Team would like to maintain the existing process by requesting one set of Legal Document from the dealer. In this connection, the Distribution Team has to ensure that (a) a photocopy of the Power of Attorney for Withholding Tax Agent and the Legal Document is provided to the Tax Department for reference in case there are any tax inspections, and (b) the Legal Document must contain wording identifying that "this documents is for support of both (i) contract and (ii) the POA".
