Special Principle Rule
Every time during of each SPA signing, the Buyer/Buyer’s Group must pay Seller Cash only the Security Deposit USD30,000.00. The Seller shall refund it to Buyer/Buyer’s Group within three (3) banking days after the Buyer’s Funds had been completely duly blocked on the SPA procedures of sub-clause No. 3.2 of the signed SPA, under the Transaction Code……. Should Buyer be unable to provide Seller his POF or failed to perform according to the sub-clause No. 3.2 during these 15 days, this Agreement will be automatically rendered null and void, without any written notification.

If the Buyer/Buyer’s group requires to extend for another 15 days, Seller will agree with, but Buyer/Buyer’s Group must pay Seller the Security Deposit again in the same amount of paying in the previous time. If the Buyer requires to amend some clause or condition of procedures of the signed SPA or change the new Buyer’s Bank or any…., Buyer/Buyer’s Group must pay Seller in the half of Security Deposit amount. All he should request in writing to the Seller in 03 days before the expired period as (see clause No. 6 of Time Limitation) mentioned and all cost shall be born by the Buyer. After having the new payments the new extension SPA shall be able to remain in force and effect immediately starting from the ending date of the old signed SPA.

All negotiations shall be only in Bangkok Thailand. It is agreed also that if the Buyer/Buyer’s Group need to arrange an appointment but only for Main Contract Signing out of Thailand, the Buyer/Buyer’s Group must be responsible:

1. The Buyer/Buyer’s Group has to issue the Invitation Letter to Seller
2. Air tickets (2) of First Class (go and back) for 2 persons
3. Foods allowance and traveling inside the city.
4. Accommodation, Hotel (5 stars, 2 rooms)
5. Pocket money USD7,500.00 before traveling 2 days.
6. Arrange the meeting room, service and all expenses

Working schedule Abroad (3 days):
1st day : Departure to Abroad.
2nd day: Both sides must take part the meeting to mutual prepare paper work (Contract Books 4 sets) in accordance with the signed SPA initials that both sides had been signed accepted before.
3rd day: Sign the Main Contract (SPA). In the same day, Seller obliged to fly back to Bangkok Thailand to be lodged duly the signed SPA through
Seller’s Board Committee. (AU Committee). And then regularly continue the deal.

Note: Please be suggested that Seller seriously keeps no change his terms and conditions and procedures of SPA.
