The Client: INDOCHINA HOI AN GOLF COURSE JOINT STOCK COMPANY
(Hereinafter referred to as the Client)

For the work known as:
CONSTRUCTION OF THE mo STOREY CLUB HOUSE M & E SERVICES AND
ASSOCIATED WORKS
Reference to the contract agreement between Light House Joint Stock Company and Intech
Corporation for the Construction of the Two Storey Club House M & E Services and Associated
Works and further reference to the Certificate of Practical Completion issued by the Construction
Manager (Delta Construction Management Company) concurred by the Client (Indochina Hoi An Golf
Course JSC) dated 21 August, 2009.
Based on the Construction Managers Certificate of Practical Completion, we, Light House Joint Stock
Company, hereby acknowledge that the work performed under this Contract is substantially complete
in accordance with the terms of contract agreed upon by and between Lighthouse Joint Stock
Company (the Main Contractor) and Intech Corporation (the nominated sub-contractor), so that
Indochina Hoi An Golf Course JSC (the client) can take over, occupy and utilize the Club House for its

intended purpose. The date of Certificate of Practical Completion is on the 18 of August, 2009.
SUbject to the completion of the "Defect List" (as per Appendix 1), Indochina Hoi An Golf Course JSC
(the Client) to issue a formal "Taking Over Certificate", which is also the date of commencement of
applicable warranties required by the Contract.
This Practical Completion Certificate shall not relieve Intech Corporation of its contractual obligation
for any items that may be found defective within the guarantee period. This Certificate is not
considered an acceptance of any works or materials by Indochina Hoi An Golf Course JSC (the
Client).

There are numbers of items of works/documentations, referred as "Defect list" (refer to Appendix 1)
that are outstanding and are required to be completed prior to the issuance of the Taking Over
Certificate.
Failure to include any defects and outstanding works in the list, does not alter the responsibility of the
Nominated Sub-contractor to complete work in accordance with the Contract Conditions.
The Nominated Sub-contractor to rectify and complete all items as listed on the "Defect list" within
Fifteen (15) days from the date of issuance of thi s 'Certificate of Practical Completion'. Any
outstanding work that are not completed within the specified date, Indochina Hoi An Golf Course (the
Client) to assign Trade Contractors to rectify the works and all associated cost of rectifying and
completing the defects and outstanding work shall be charged against any amounts due to Lighthouse
Joint Stock Company (the Main Contractor) and Intech Corporation (the Nominated SUb-contractor).
The Client's taking over the works of Main Contractor and the Nominated Sub-contractor shall not
relieve the Contractor respective responsibilities to warrant the works carried out by the appointed
trade contractor or workers by the Client.

Based on the Certificate of Practical Completion issued dated 21 August, 2009, we, Delta
Construction Management Company Ltd, Certifies that the Work is Practically Complete.

The Client accepts the works as practically completed:
The Contractor/Nominated Sub-contractor will complete or correct the defects or outstanding works as
Ilsted above within the specified date to a maximum of Fifteen (15) days of the date of issuance of the
"Certificate of Practical Completion". Any outstanding work not completed within the time allowed above
shall be completed by Client and the cost of completing such defects or outstanding works shall be
charged against any amounts due Contractor. Employer's taking over the works of Contractor shall not
relieve the Contractor of his responsibillties to warranty the works carried out by the Employer/Owner.
