Before you use the service of Camera360 SDK open platform(hereinafter referred to as “service”)，you shall read and abide by the Camera360 SDK Open platform service agreement and other documents or rules (hereinafter referred to as “agreement”).
Please be sure to carefully read and fully understand all the terms , especially the clauses of disclaimer and limitation of liability.
Unless you have read and accepted the agreement , or you shall not use this service provided by Chengdu PinGuo Technology Co., Ltd.(hereinafter referred to as ”PinGuo”). Once you use the service, that is, you have read and agreed to the agreement, you shall be subject to the agreement. If you violate any clauses of the agreement, PinGuo may , at its sole discretion, decide to unilaterally suspend or terminate the service to you at any time and shall have the right to investigate for your responsibilities .
1、Definition

1.1 “Camera360 SDK open platform” means platform which belongs to PinGuo and serves third-party developers with data、characters、code、tools、software、development kit etc.（hereinafter referred to as “SDK/API”）.
1.2You individually if you are agreeing to it in your own capacity, or if you are authorized to acquire the SDK/API on behalf of your company or organization, between the entity for whose benefit you act (“you”).
2、Grant of License and Reservation of Rights

2.1PinGuo hereby grants you to use the SDK/API by mobile phone or web-based Application，but the premise is that you agree to abide by the agreement. Besides, you understand and agree to you can only use the SDK/API in accordance with the agreement, anyway, you shall not sale the SDK/API to anyone. And you shall understand that PinGuo grants to you the non-exclusive and non-transferable right to use the SDK/API, and PinGuo has the right to withdraw the license at any time.
2.2You shall determine , at your sole discretion, any versions and the matching service to use the SDK/API, and PinGuo will supply you with the application identification key（”key”）after you apply it in accordance with the agreement. But you can only use the key by yourself and on only one platform, and you cannot allow anyone else to use the key ,whatever by transfer or lease or what other way. And you shall not generate multiple keys by yourself ,before you get the written consent of PinGuo, and the behavior of using the keys you generated will be deemed as your action, whoever use it, you should be responsible for it.
PinGuo retains the rights that are not expressly granted to you ,and you have no right to enjoy it.
3、Instructions

You shall not use the SDK/API for any purpose that will infringe the copyright, trademark, patent, trade secret, right of publicity of PinGuo or any other right of a third party. And you shall ensure that any content or material you create, copy, download, modify, post and/or distribute through the use of SDK/API is legal and will not violate such rights .
You understand and agree to that PinGuo supplies the SDK/API for free, but PinGuo may charge for part of or all of the SDK/API according to the actual need in the future. But PinGuo shall inform or announce it on the relevant service page, you shall cease to use the SDK/API if you don’t agree to pay for the SDK/API.
Alteration of service: you understand and agree that PinGuo reserves the right to add, remove, modify, alter or terminate any and all content existing within or transmitted through the SDK/API, including but without limitation the free or purchasable content, such as downloaded filters/effects, fonts, stickers, shapes, tools, frames and other materials.
4、Ownership and Intellectual Property

The SDK/API and all related intellectual property rights in and to the SDK/API and service are the sole and exclusive property of PinGuo, without PinGuo’s prior written consent , you shall not do as followings:
(I) copy, rent, lease, sell, transfer, assign, sublicense, disassemble, reverse engineer or decompile, modify or alter any part of the SDK/API ;
(II) use the SDK/API on behalf of any third party;
(III) make money or profit from SDK/API by selling it or through other means ;
(IV) damage the interests of PinGuo .
5、Brand

You ensure that you shall not , and of course you are not allowed to cancel, remove, obscure and/or destroy, disrupt PinGuo’s brand icons without prior written consent from PinGuo. You may not use the PinGuo’s any logos or trademarks or something else(“PinGuo logo”), without prior written consent from PinGuo, unless it has been expressly granted by the agreement. When you use the PinGuo logo in conjunction with your own application or website, you have to expressly indicate that the logo or mark or something else of PinGuo belongs to PinGuo only, and your use of the PinGuo logo shall not imply any endorsement that PinGuo is your product agent or you are agent of PinGuo or you and PinGuo are partner or other relationship like this.
6、 Support and Upgrade

Although PinGuo strives to provide best support to its users, the terms and conditions herein do not legally entitle you to have any support and/or upgrades for the SDK/API, unless there is prior, separate written agreement between you and PinGuo. PinGuo may, at its sole discretion and without warning or consent, immediately terminate these terms and licensee’s access to the SDK/API for any or no reason.
7、 Disclaimer

You understand and agree that the SDK/API is provided “as is” without any kind of warranty. PinGuo hereby disclaims all other warranties, express or implied, oral or written, including but without limitation, the integrity, accuracy, non-infringement or non-infringement of third-party rights, merchantability, universality of design and operation with respect to the SDK/API. No oral or written information or advice offered by PinGuo or its agents or employees, shall create a warranty or in any way modify the warranties expressly set forth herein. Except as expressly provided, PinGuo does not ensure that the SDK/API will meet all requirements of yours, or that the operation of the SDK/API will be uninterrupted or error free, or that all the defects of SDK/API will be corrected by PinGuo.
Further, PinGuo will not be responsible for any of your losses that resulting from the use of SDK/API or PinGuo logo, including but without limitation, losses resulting from: (i) the modification, misuse or damage of the SDK/API without PinGuo’s license (ii) you failed to fulfill all bug fixes or other defect corrections which are made available by PinGuo, (iii) the use of the SDK/API is not in accordance with the directions provided in the documentation or as permitted by this agreement, (iv) any computer virus or (v) any defects in or failure of your or any third party’s individual computer, equipment, network or software, or for any user error. (vi) the dispute resulted from the use of SDK/API or PinGuo logo .
8、 Limitation of Liability

In no event shall PinGuo be liable to you for any of your loss of or damage to ,including but without limitation, data or other personal or business information, lost profits or any special, incidental, direct or indirect or consequential damages arising out of the use of the SDK/API, even if PinGuo has been informed of the possibility of such damages in advance. The limitations herein shall apply even if PinGuo knew or should have known about the possibility of the loss and damages. Even some provisions of law do not allow the exclusion or limitation of liability, PinGuo may be responsible to these loss or damages in the range of 1000 RMB(one thousand China Yuan ).
9、Exclusion of High Risk Activities

The SDK/API of PinGuo is not fault-tolerant for, and is not designed or intended for use in the areas of high security performance requirements, including but without limitation, in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, weapons systems(collectively called “High Risk Activities”). PinGuo expressly disclaims any express or implied warranty of fitness for High Risk Activities and shall not be responsible for it.
10、 Indemnity

You agree that PinGuo shall have no liability whatsoever for any use of the SDK/API and PinGuo logo, and you shall be liable for it by yourself and you shall indemnify and hold harmless PinGuo from any and all claims, damages, liabilities, costs and fees (including but without limitation, attorney fees, penalty, compensation) arising from the use of SDK/API and PinGuo logo.
11、Privacy

The use of SDK/API may require you to provide personal identifying information such as your name and email address. PinGuo will not share or sell such information with any third party unless PinGuo has obtained your prior consent to disclose such information or PinGuo is required to disclose such information as required by law, regulation, or litigation.
You agree and consent that PinGuo may monitor and analyze your use of the SDK/API for the purpose of improving the quality and usability of the service. In doing so, PinGuo may record and access your usage information and/or data.
12、Term and Termination

The terms and conditions shall be effective from the date of delivery or downloading of the SDK/API, the earlier one shall prevail .The terms and conditions shall automatically terminate upon any failure by you to comply with the terms of this agreement, or you discontinue to use the SDK/API, or PinGuo unilaterally terminate this agreement or the service, or PinGuo takes your right to access to the SDK/API, and so forth .
Upon the termination of the terms and conditions, all licenses and other rights granted to you hereunder shall immediately terminate.
13、Modification

PinGuo has the right, at its sole discretion, to modify the terms and conditions at any time by posting a notice on xxxxxxx. It will be deemed to that you agree with and will abide
