The Company Law requires annual and extraordinary GMSs
as required by the AoA. Unless stated to the contrary in the
Establishment Deed, shareholders will hold one vote for
each share, and a simple majority is all that is needed for
voting purposes. The Company Law prohibits the directors
from voting on behalf of shareholders. Directors acting as
proxies of the shareholders will have no voting rights.
