In many jurisdictions, the general duty of loyalty is supplemented by more specific obligations, such as those requiring board members to avoid (or disclose) conflicts of interest or maintain the secrecy and confidentiality of information they receive about the company in their capacity as board members. In Spain, for instance, directors have a duty to maintain the secrecy and confidentiality of the information they receive in the exercise of their functions, which is spelled out separately from the general duty of loyalty, but could be seen as a corollary.
