5. The Customer agrees to use their best endeavours to reach the target sales volume as above specified. In case the target sales volume is not reached, the Customer agrees that the marketing support under this agreement shall be adjusted on a pro rata basis. The Customer shall be informed in writing of any price adjustment of the product 30 days in advance but any changes may only be implemented if agreed in writing following benchmarking against market condition and competitors. At all times, the company will ensure that the pricing offered to the customer is the best in the 4-5 hotel market for its products. Once agreed, the base price for all product shall be fixed for a minimum of 1 month thereafter. Should any new tax or higher tax or tax rate costs that are beyond its control (including, but not limited to, taxes on the cost of sugar, resin, diesel and excise tax) increase or reduce, the Company may at its sole discretion increase or reduce
the Prices at any time to reflect the increase or reduced cost provided that it has consulted the Purchaser and has given prior written notice of the date of the Price change following condition and period as mentioned.
8. The Company recognizes at all times that the Hilton Worldwide Thailand are predominately a management company, and as such may not have equity in any particular hotel, nor will liable for any payments. As such, The Company will execute individual agreements with each hotel legal entity within the terms and parameters of this agreement by the end of this year.
