Should the circumstances of Force Majeure continue over a period of three (3) months, the Buyer has the right, if no other understanding is reached, to terminate the whole Agreement or any Part thereof in accordance with Article
20.2.
NON-DISCLOSURE
The Seller shall keep with due care and handle confidentially all designs, specifications and other technical and commercial information which the Seller will receive under the Agreement (hereinafter called the "Confidential Information") and in any case shall neither use for other purposes whatsoever nor copy and communicate such information to other except in the performance of services which the Seller undertakes pursuant to the Agreement with prior written consent of the Buyer.
When the Seller discloses such Confidential Information to others in compliance with the above-mentioned provisions, it shall impose on those parties the same confidentiality restrictions as stipulated herein.
The Seller shall promptly return all the documents and data transmitted to the Seller by the Buyer together with copies thereof and all the documents incorporating the Confidential Information contained in such documents and data, upon cancellation, termination or completion of the Agreement.
The provisions of this Article shall survive any termination of the Agreement and shall continue in effect thereafter reasonably to protect the proprietary interests of the Buyer and any licensor(s) concerned.
