b Software Support Fee – This annual fee for Software Support is payable in advance with respect to each End User. The obligation to pay the Software Support Fee commences on the first anniversary of the Installation Date. The Distributor must pay the full amount of the Software Support Fee every year to maintain its rights to distribute the Products. and to obtain Software Support. The Software Support Fee is mandatory. The Software Support Fees must be reported to FMSU on an annual basis as part of the Company’s fiscal year budget process. The items and form of such report shall be as designated by the Company.
7.2. The Product License Fees and the Software Support Fees shall be based upon the transfer pricing as set forth in the Transfer Price List to be submitted by the Company to Distributor. Any aspect of the Transfer Price List is subject to revision by the Company, in its sole discretion, and in the event that the Company elects to revise the Transfer Price List, it shall submit a copy of the revised Transfer Price List reflecting the effective date of the revision to its primary contact with Distributor via email as follows:
