5. Ownership Rights and Intellectual Property Rights
“Background IPR” means any any intellectual property right (“IPR”), including any know-how, techniques, methodologies, modifications, customisations, configurations, enhancements and derivations to such IPR, owned or created by a party, the party’s affiliates or subsidiaries, whether beneficially or otherwise, and which is used for the purposes of the provision of the Service under this Agreement;
“New Materials” means material in any form, including documents (written or electronic), reports, products, equipments, information, data, software, software tools and software development methodologies created in the performance of the Services by the Service Provider, or jointly developed by the Customer and the Service Provider, but excludes the Service Provider's Background IPR and/or Third Party Background IPR.
5.1 New Materials. The Customer shall be the sole and exclusive owner of any New Materials. The Service Provider absolutely and unconditionally assigns all right, title and interest in and to the New Materials to the Customer. For any New Materials which are software, the Service Provider will provide the Customer with copies of machine-readable and human-readable source code, and technical documentation for such software.
5.2 Service Provider Background IPR. The Service Provider shall be the sole and exclusive owner of the Service Provider's Background IPR ("Service Provider Background IPR"). Service Provider Background IPR must not be introduced into the supply of the Service (including into any Service deliverable) unless approved by the Customer in writing. If the Service Provider embeds any such Service Provider Background IPR into the New Materials, Service Provider grants to Customer, its affiliates, outsourcers, and assignees irrevocable, perpetual, non-exclusive, fully-paid, transferable, worldwide license to use Service Provider Background IPR as necessary for the Customer, its affiliates, outsourcers and assignees to receive the full benefit of the New Materials (including without limitation, for the operation, maintenance, development, alteration, modification and/or exploitation of the New Materials). If requested by the Customer, the Service Provider shall promptly provider the Customer with reasonable evidence that the Service Provider has the right to grant the license in this sub-clause in respect of the Service Provider Background IPR to the Customer. For any Service Provider Background IPR which are software, and for which the source code is not generally available to the Customer, the Service Provider must, at the Service Provider's own expense, maintain a current copy of such source code in escrow for the benefit of the Customer which the Customer shall be entitled to access upon request.
5.3 Third Party Background IPR. As between Customer and Service Provider, the sole and exclusive owner of any Third Party's Background IPR ("Third Party Background IPR") shall be owned by the applicable Third Party.
5.4 Implementation of Third Party Background IPR. Service Provider shall not embed any Third Party Background IPR into New Materials without obtaining the prior written consent of the Customer. Prior to any implementation of any Third Party Background IPR into the New Materials, the Service Provider shall have caused such Third Party to agree to directly grant to the Customer an irrevocable, perpetual, non-exclusive, fully-paid, transferable, worldwide license to use such Third Party Background IPR embedded in the New Materials as necessary for the Customer, its affiliates, outsourcers and assignees to receive the full benefit of the New Materials (including without limitation, for the operation, maintenance, development, alteration, modification and/or exploitation of the New Materials). If requested by the Customer, the Service Provider shall promptly provider the Customer with reasonable evidence that the Third Party has the right to grant the license in this sub-clause in respect of the Third Party Background IPR to the Customer. For any Third Party Background IPR which are software, and for which the source code is not generally available to the Customer, the Service Provider must, at the Service Provider's own expense, maintain a current copy of such source code in escrow for the benefit of the Customer which the Customer shall be entitled to access upon request.
The Service Provider must not do, or omit to do, anything that would cause the Customer or any of its affiliates, outsourcers and/or assignees to breach any license of the Third Party Background IPR provided to or used by the Customer or any of its affiliates, outsourcers and/or assignees.
5.5 The Customer shall be the sole and exclusive owner of the Customer's Background IPR ("Customer Background IPR"). The Customer permits the Service Provider during the course of the performing the Service hereunder, to use the Customer Background IPR for the sole purpose of providing the Service. The Service Provider shall have no right to use the Customer's Background IPR for any other purpose, and shall have no right to sublicense any rights with respect to the Customer Background IPR, except for a permission to its subcontractor(s) who will need to use such Customer Background IPR to provide the Service, without obtaining the Customer’s prior written consent. The Service Provider will cease use (and ensure its subcontractors cease use) of the Customer Background IPR upon termination of the Agreement or upon receipt of notification from the Customer.
5.6 The incorporation of open source software in any Service deliverables/Service for the Customer must obtain express authorization from the Customer in writing.
5.7 The Service Provider shall use all legal licenses in the performance of the Service as required herein. The Service Provider shall comply with all confidentiality, non-use and non-infringement obligations under any contract in connection with any product(s) and/or license(s) provided by any third parties, where the Service Provider has access to the relevant products in the course of its performance of the Service.
5.8 In performing the Service, the Service Provider shall not make any copy, or duplication, or do any act or thing which may be deemed as infringement of any intellectual property rights of a third-party. As such, should there be any third-party claim that the Service deliverables, the Service, the New Materials, or any part thereof, has infringed any intellectual property right of any person, the Service Provider shall defend, hold harmless and indemnify the Customer (including its affiliates, outsourcers and assignees) from any expenses, losses and damages (including without limitation any court fee, lawyer’s fee, and expenses in connection with any pursuit of claim, any litigation, and any execution of court judgment), which are arising out of or in relation to such third-party claim and the court finally awards (save for lawyer fees and expenses which the Service Provider shall indemnify the Customer for actual amounts reasonably incurred by the Customer) or that are included in a settlement approved by the Service Provider (such approval shall not be unreasonably withheld or delayed by the Service Provider).
In this respect, the Customer agrees:
a. To notify the Service Provider of such claim immediately in writing;
b. To allow the Service Provider to control, defend and negotiate for such claim, and to provide other relevant assistance reasonably required by the Service Provider at the Service Provider’s expense.
Should such a claim be made or appear likely to be made, the Service Provider shall enable the Customer, at the Service Provider's sole option, to continue to use the Service deliverables, Service and/or the New Materials, or the modify any of it, or replace any of it with one that is at least functional equivalent. If the Service Provider reasonably determines that none of these alternatives is reasonably available, the Customer agrees to return the Service deliverables/New Materials to the Service Provider. The Service Provider will then give the Customer a credit equal to the amount the Customer paid for the Service Provider for the creation of the Service deliverables/New Materials. However, where a credit is not acceptable to the Customer, the Service Provider shall refund the Customer such amount. The Service Provider shall provide reasonable written notice to the Customer informing the Customer of any third party claims under this Clause as well as of any proposed settlement action or proposed work-arounds arising from any third party claims.
