During the term of the Agreement, the Retailer shall not, directly or indirectly: (a) engage in discussions with or enter into arrangements with any Merchant or other retailer that purchases products from InComm or any of its Affiliates, in order to establish a direct relationship with such Merchant or other retailer in connection with the distribution and sale of the Retailer Products; (b) withdraw its approval of any Merchant that purchases product from InComm or its Affiliates, for the purpose of entering into or extending a distribution arrangement with another third party distributor; or (c) limit or otherwise curtail any current or future distribution opportunities with InComm in any other third-party distribution arrangement.
