ARTICLE 4 Public Announcement
Each Party agrees to consult with, and obtain the prior written approval of the other Party (such approval not to be unreasonably withheld) before issuing any press release or making any public statement with respect to this MOU or any transaction contemplated by this MOU; provided that, upon prior written notice to the other Party, a Party may issue such press releases or make such public statements as may be required by applicable law or any rule or regulation of a relevant stock exchange.
ARTICLE 5 Term
This Agreement shall commence on the date and year first above written and shall continue until terminated by the written agreement of the Parties.
ARTICLE 6 Miscellaneous
6.1 Parties do not intend to be legally bound by any part of this MOU, provided that Article 3 through 6 of this MOU are legally binding upon the Parties.
6.2 This MOU shall be governed and construed in accordance with the laws of Thailand.
6.3 Any and all disputes arising out of or in connection with this MOU shall be finally adjudicated according to the commercial arbitration rules of the Thailand Arbitration Center by three arbitrators to be appointed in accordance with the said rules. The Parties shall keep the proceedings confidential, subject to said rules. The language in the tribunal shall be English. The venue shall be Bangkok, Thailand.
