2.1. The Lender hereby agrees to lend the Borrower, and the Borrower agrees to borrow from the Lender in the amount of USD 13,000,000 (Thirteen Million United States Dollar) subject to the terms and conditions set forth herein (hereinafter referred to as the “Loan”).

2.2. The total of amount of the Loan herein shall be made available by the Lender not later than 3 (three) days from the Effective Date of this Agreement.

3. PURPOSE OF THE LOAN

The Borrower hereby agrees that all the Loan shall be used for the purpose as stated under Clause 2 of the Business Collaboration Agreement between the Parties dated [•].

4. INTEREST AND FEE

4.1. The Borrower agrees to pay interest to the Lender on the outstanding principal amount of the Loan at the rate of 15 (fifteen) per cent per annum. The interest shall be payable in arrears on each repayment date and shall be computed on the basis of actual of days elapsed and a 360-day-year.

4.2. All repayments from the Borrower to the Lender under this Agreement, including but not limited to interest and fee shall be net amount and free from any taxes and expenses. In case there is any tax applicable (whether withholding tax , stamp duties or other taxes), the Borrower agrees to be responsible for all such taxes.

5. REPAYMENT

3วัตถุประสงค์ของเงินกู้ยืมที่ตกลง
