Each party agrees that the Confidential Information of the other party hereto is confidential and proprietary information.
Each party agrees:
(i) To hold all Confidential Information of the other party in strict confidence and not to disclose any of such Confidential Information to any third parties, except as may be required by law; and
(ii) Not to use any of such confidential information for its own benefit, or for the benefit of any other person, business or entity.
Notwithstanding the foregoing, each party may disclose Confidential Information disclosed to it under this AGREEMENT to its responsible employees who have a bona fide need to know such Confidential Information, but only to the extent necessary to carry out the purposes for which such Confidential Information was disclosed hereunder, and only if such employees are contractually bound to refrain from using or disclosing such Confidential Information. Each party will instruct all such employees not to disclose any Confidential Information of the other party hereto to third parties, or to use, or allow third parties to use, any of such Confidential Information without the Disclosing Party's prior written consent. Each party will nevertheless be liable for any breach by its employees of its obligations.
