SUREPHEE committing any act of dishonesty, fraud or misconducting any serious or persistant breach of any of the provisions of services in this agreement; or any serious and willful neglect in the perfromance of his/her responsibilities; or

SUPRAPHEE being convicted of any offence precluding or inhibiting the further performance of his/her duties; or

SURAPHEE disclosing client's or FCON's intellectual property or confidential information without FCON's prior authorization
