the letter is a follow up to foundation for world wide international students exchange's(hereinafter referred as 'W.I.S.e')information meeting wise had with dr.thongsavath,Director of clean Agriculture development centre and somvang,Deputy director of planning cooperation.
as a result of that meeting which discussed exploring the creation of a program of cultural exchange for laos students in the united states of america, wise the prepared a memorandum of understanding with the country of laos people democratic republic, and attach the same for your review and approval.

this agreement,made this...day of.........,2015,by and between laos, a sovereign nation, by and the through its ministry of Agriculture and forestry, department Agriculture,whose business and post office address is 811,vientiane,laos PDR,hereinafter referred to as laos and the foundation...,a tennessee non-profit corporation, whose business and post office address is p.o 1332. DYersburg, tn 38025,hereinafter referred to as ''wise'
witnesseth
whereas,therefore,in consideration of the promises and mutual covenant and agreements set forth herein,the parties hereby agree as follows:
1.that the parties will encourage the following activities:
A. exchange of students but initially agricultural students.
B. cultural exchange facilitation through use of the united states of america's j-1 visa program.
C. exchange of materials and information for the purpose of the aforesaid cultural exchange
2. that any specific agreements or MOUs will be signed after negotiation on the detailed programs between the two parties. this agreement shall be non-binding and is specifically meant to explore the creation of a program of cultural exchange for laos students in the united states of america.
3. that this agreements and any activities resulting from this agreement shall we governed by,in accordance with and in compliance with, all laws,rules and regulation of the united states of America
4.this agreement shall be valid until terminated be either parties at anytime by written notice signed by the terminating party. said written notice may be provided to the other party by party terminating this agreement by electronic mail addressed to the respective parties as follow:

written notice shall be deemed received upon transmittal;provided,however,the sending party shall not be responsible for ensuring the delivery of said written notice,provided further the aforesaid addresses shall remain valid untill written notice of a replacement electronic mail address is provide to to the other non-replacing party.
5.that the partIes shall first attempt to settle any disputE or difference as to the interpretation of this agreement amicably though consultation and negotiation.
