The Employee acknowledges that he/she will from time to time receive certain information relating to the business and commercial affairs of the Company, which information is confidential, proprietary to the Company and not available to the general public. The Employee agrees that he/she shall not under any circumstances divulge such information to third parties, use such information other than for a purpose authorized by the Company, or otherwise publish or disseminate such information without the prior written consent of the Company. Such information includes, but is not limited to, business plans, marketing plans and strategies, client lists, customer details, pricing systems or structures, software or software codes made, used or licensed to the Company, financial information relating to the Company, technical plans, know-how, designs or systems owned or operated by the Company and the Company’s trade secrets. The obligations under the clause shall survive termination of this Contract. If the Employee contravenes any provision of this clause he/she may be liable to the Company for any loss or damages as may be occasioned by such contravention.
