i) a maximum of one hundred thousand US Dollars (USD 100,000.00) under this Agreement or applicable Letter of Engagement in any one contract year, in respect of all losses, whether or not unforeseeable, including but not limited to additional operating and administrative charges, direct expenditure rendered unnecessary as a result of the breach, the cost of cover in any or all the territories in which Supplier provides the Services under this Agreement, loss of business, loss of revenue, loss of profits, anticipated savings, any compensation payable to the Client, including any banking charges, all damages, expenses and costs (including legal and court costs) and all other expenses incurred by CloudPay to the extent caused by the Supplier;
ii)i) a maximum of 50% of the annual Fees due under this Agreement for the Term in respect of direct losses, costs and/or expenses incurred by a Party to the extent caused by such Party’s breach. an amount equivalent to the fees paid to Supplier during the 3 months immediately prior to the incident giving rise to the liability.
