The reasons for writing a contract are generally threefold:(1) it forces the parties to focus on the issues inherent in their business transaction, (2) it sets forth the parties understtanding about the issues to assist them in avoiding future disputes concerning their respective rights and
obligations,and (3) if there is a dispute a court or arditrator can better determine what to do under the circumstances.so far as possible the thoughts to be expssed should be short, clear and to the point so thst it conveys the meaning that is intended by the parties, with the words used being those with which a person engaged in that particular business is familiar with. The most important thing about a contract is that it serves as written evidence for both parties of the terms agreed upon, down to the smallest detail.
