2.4 Both Parties shall take all reasonable precautions to prevent unauthorized access to Confidential Information by any person or party by using at least the same protective measures as are used by the Receiving Party to protect its own confidential and/or proprietary information and in any case not less than a reasonable standard of care.
2.5 The Parties shall maintain the Confidential Information in the strictest confidence and to use the same only for the purposes of this Agreement and for no other purpose and, in particular, without prejudice to the generality of the foregoing, not to make any commercial use thereof or use the same for the benefit of itself or of any third party other than pursuant to this Agreement.
2.6 The Receiving Party shall keep the Confidential Information and all information generated by that Receiving Party which derives from the same, separate from all of its other documents and records.
2.7 The Receiving Party shall promptly notify the Disclosing Party if the Receiving Party becomes aware of any breach of confidence relating to the Confidential Information and to give the Disclosing Party all reasonable assistance in connection with the Disclosing Party’s investigation of the breach.
2.8 The Receiving Party shall permit the Disclosing Party’s authorized representatives to audit the Receiving Party’s use of the Confidential Information at all reasonable times during the Receiving Party’s normal hours of operation to determine that the provisions of this Agreement are being faithfully performed.
2.9 The Receiving Party shall secure any reasonable information security management system and for such purpose, shall appoint a person responsible for security management of Confidential Information and shall cause such a person to take reasonable measures to avoid any disclosure of Confidential Information in breach of this Agreement.
2.10 The Receiving Party shall not copy, duplicate, reproduce, use, publish, transform, store, reduce into writing or in any computer or electronic information retrieval system accessible to persons other than its own staff the Confidential Information, or any part thereof, without the prior written consent of the Disclosing Party. If the Receiving Party copies or duplicates the Confidential Information pursuant to the prior written consent of the Disclosing Party, such copies or duplicates thereof shall be treated the same as the Confidential Information.
