Composition and independence
We place a strong emphasis on the overall balance in the composition
of a board. The board should be made up of members with an
appropriate and diverse range of competencies, knowledge and
experience to enable it to discharge its duties and responsibilities
effectively. These include leadership skills to move the company
forward, expertise to make decisions and independence to hold
executive management to account. We encourage companies to
introduce mechanisms to assess board performance and to promote
appropriate board refreshment where long tenures may compromise
independence.
