PREAMBLE

Whereas, Ingenico’s group is a leading worldwide provider of payment and identification solutions, and is inter alia engaged in the design, development, manufacture and sale of a range of payment terminals and other products designed to identify goods or people, authenticate users and enable digital signature for specific electronic transactions;

Whereas, CUSTOMER has purchased the Equipment (as defined below) from INGENICO and requires the Equipment to be maintained and supported;

Whereas, INGENICO also carries on the business of maintaining and supporting the Equipment;

Now, therefore, the Parties have agreed as follows:

ARTICLE 1. DEFINITIONS

“Confidential Information” shall mean any information of a confidential or proprietary nature of either Party including, but not limited to, any information relating to the systems, products, operations, processes, plans, intentions, product information, market opportunities, business affairs, data, designs, manuals, training materials and documentation, formulas, ideas, inventions, knowledge of the disclosing Party, mask-works, methods, prices, financial and accounting data, products and product specifications, systems and technical information;

“Effective Date” shall mean June 1, 2015;

“Equipment” means the equipment listed in Part 1 of the Schedule 1 and shall include all updated or replacement parts and any additional equipment supplied by INGENICO;

“Fees” means the fees for services to be carried out by INGENICO as specified in article 5 of this Agreement, including spare parts;

“Intellectual Property Rights” or “IPR” shall mean any and all (i) copyrights, trademarks, trade names, domain names, goodwill associated with trademarks and trade names, trade

" ที่มีประสิทธิภาพอาจจะหมายถึงวันที่ 1 มิถุนายน 2015 ;
