SALE AND PURCHASE AGREEMENT
This Agreement to Sale and Purchase a Condominium is made at PATONG CONDOTEL
On 18 January 2016
By and Between :
Miss NATTAYA MORA , holding Thai ID.number 3 8408 00110 93 2 , hereinafter referred to as the “ Seller ” of the one part
AND
Mr.KALAN BRYANT MOYER , holding USA. passport number 488522931 And Mr.PETER ALLEN HABLITZEL , holding USA. passport number 506061473, Both of hereinafter referred to as the “Purchaser” of the one part :
Whereas, The Seller is the current legal owner of the Thai – Free hold condominium ., Unit no. 62/70 and Unit no. 62/71 at Patong Condotel Condominium with an area of 28 Square-meters per unit , including with all furniture, decorating, fitting.
NOW, THEREFORE , Both parties hereto do hereby agree to enter into an agreement according to the following terms and conditions :
1. The Sale and Purchase
The Seller agrees to sell and the Purchaser agrees to purchase the Seller’Condominium with fully furnished Unit no.62/70 and Unit no.62/71 at the floor 3 of Patong condotel condominium with an area of 28 Square-meters per unit , including with all furniture, decorating ,fitting.
2. The Purchase Price
The Seller agrees to sell and the purchaser agrees to purchase the condominium Unit on Clause 1.for total the price of 2,900,000 THB. ( Two Million and Nine Hundred Thousand Bahts )
3. Terms of Payment
The parties hereto agree that the Purchaser shall pay the Purchase Price according to the terms and conditions and time frame as follows:
The Purchaser agrees to pay the balance 2,900,000.Bahts (Two Million and Nine Hundred Thousand Bahts) to the Seller on or before Completion date on before January 29, 2016
4. Registration of the Transfer of Ownership
The Seller agrees to proceed with the registration of the transfer of ownership of the Condominium unit to the Purchaser ( in behalf of Thai Company which shall be set up in the future ) at the Phuket Land Office on completion date. (If necessary ) the Purchaser has the right to demand the seller to register the transfer of electric and water supply with only the electricity meter deposit to be reimbursed to the seller
5. Tax and Expenses to the Transfer of Ownership
The Seller and Purchaser will pay all transfer fees, duty stamps and all specific business tax Half/Half and Seller will pay for the CAM fees and Juristic Papers fee till the date of completion transfer of this contract
6. Covenants of the seller
The Seller / Purchaser will pay all lawyer fees. for transfers duty
7. Confirms and Guarantee
The Seller confirms and guarantees that the Condominium maintenance fees will be fully paid
up and that all electric fee and water consumption charges will be fully paid up to the transfer date. Include agree to pay the Juristic person for documents fees
8. Default
(a) In the event of default of payment or partial payment according to Clause 3, the Purchaser agrees to allow the Seller to exercise his right to terminate the agreement and forfeit the entire payment made by the Purchaser to the Seller. And all renovations and furniture or fixtures installed in the unit as part of the renovation activities of the Purchaser shall them become to the Seller.
(b) In the event of default of the seller, the Seller may pay penalty four times of all deposit paid and all renovation cost to the purchaser.
9. Governing Law and Jurisdiction
This agreement shall be governed by laws of Thailand and shall be binding upon the parties hereto and their respective successors and assignees. Both parties shall resolve any dispute amicably. If the dispute is not resolved, the parties may refer the dispute to the Thai Civil Court having jurisdiction thereto.
This Agreement is made in duplicate , each with equal tenor and effect , Both parties have read and understood the purpose thoroughly and finding that the Agreement is in accordance with their intent in every respect, have set their hands and seals (If any) in the presence of witnesses in evidence hereof.
