4. Obligations Upon and After Termination
Upon termination of this Agreement in accordance with Clause 2.1, all records, files, any compositions, articles, devices and other items which disclose or embody Confidential Information of the Disclosing Party, including all copies or specimens thereof in the Receiving Party’s possession, whether prepared or made by the Receiving Party or others (“the Materials”), must be returned to the Disclosing Party or destroyed by the Receiving Party. The termination of this Agreement shall not relieve the Parties, their Affiliates, consultants, representatives or their employees or agents of the obligation of non-disclosure or obligation to return the Materials.
