Term under this Agreement. The Lessee’s intention to renew shall be furnished to the Lessor in writing at least 3 months prior to the expiration date of this Agreement.
Clause 6 : Representations and Warranties
The Lessee represents and warrants that:
(a) it has power to enter into this Agreement and to exercise its rights and perform its obligations under this Agreement; and
(b) neither execution and delivery by the Lessee of this Agreement nor the performance of any obligations herein contains conflict with or contravenes the terms, conditions or representations given by the Lessee to any third party.
Clause 7 : Lessor’s Covenants
The Lessor hereby covenants with the Lessee, subject to the due performance and observance of all covenants on the part of the Lessee that the Lessor has the right to lease the Leased Property.
Clause 8 : Lessee’s Covenants
Throughout the Rental Term and any renewal thereof, the Lessee covenants with the Lessor as follows:
8.1 that the Lessee shall use the Leased Property for conducting all normal and legitimate business activities as provided in its present Memorandum and Articles of Association;
8.2 that the Lessee shall be responsible for the installation costs of telephone system and other office utilities, and that on expiry or sooner termination of the Rental Term the Lessee shall ensure that the electricity and any other utilities contract are terminated and any outstanding charge are settled;
8.3 that the Lessee shall at its own expense take care of, maintain and repair (if damage is caused by the fault or negligence of the Lessee) the Lease Property in as good, clean and sanitary condition as any person of ordinary prudence would do, fair wear and tear excepted;
8.4 that the Lessee shall pay, when due, the monthly rental, all charges for water, electricity, telephone, facsimile and other services supplied to it at the Leased Property during the Rental Term and any renewal thereof (if any).
