4.0 DEFINITIONS
“Anything of Value” should be broadly construed and includes not only cash or a cash
equivalent, but also discounts, gifts, use of materials, facilities or equipment;
entertainment, drinks; meals, transportation, lodging, insurance benefits, investment
opportunities, political or charitable contributions, or promise of future employment. The
perception of the recipient and the subjective valuation of the thing conveyed is a key
factor considered in determining whether “anything of value” has been given.

“FCPA” means the U.S. Foreign Corrupt Practices Act of 1977 and any amendments
thereto.

“Government Intermediary” means any individual or entity retained by Jacobs in a role
that requires interfacing with Government Officials on behalf of Jacobs. To the extent
falling within the foregoing definition: Consultants, contractors, subcontractors, tax
advisors, logistics or freight forwarders, export agents, customs clearance specialists,
and other vendors and suppliers will be within this definition. However, this definition
does not apply to: (i) “Representatives” as defined in GPS01-108-03 Appointment of
Representatives; (ii) Joint Venture Partners as defined in GPS01-103-11 Due Diligence
of Joint Venture Partners and Jointly Owned Enterprises; (iii) Independently regulated
attorneys providing legal advice and performing legal services; and (iv) the following
accounting firms: Ernst & Young, Deloitte, KPMG and PricewaterhouseCoopers.

“Government Official” means any officer or employee of a National government; or any
state, province, county or city; or any department, agency, or instrumentality thereof; or
of a public international organization; or any person acting in an official capacity for or on
behalf of any such government or department, agency, or instrumentality, or for on
behalf of any such public international organization; or an official of any political party, or
a candidate for political office or anyone acting on their behalf; or a member of a royal
family, tribal chief, or other person with government immunity or status.

“International Conventions” means the Organization for Economic Co-operation and
Development (OECD) 1997 Convention on Combating Bribery of Foreign Public Officials
and International Business Transactions, the Inter-American Convention Against
Corruption of 1996, 1997 European Convention on the Fight Against Corruption Involving
Officials of the European Communities or Officials of Member States of the European
Union, the 1998 Council of Europe Criminal Law Convention on Corruption, the 1999
Council of Europe Civil Law Convention on Corruption, the 2003 African Union Convention
on Preventing and Combating Corruption, the 2003 EU Council Framework Decision on
combating corruption in the private sector and the 2003 U.N. Convention agains
