4.1 Cost Reduction Initiatives. The parties agree to work together throughout the Term to further reduce the Prices by exchanging ideas for cost reduction based on current specifications, Supplier participation in Carrier Excellence, ProCert and Kaizen events, and development of productivity improvements. Each party may, from time to time, give written notice to the other proposing cost reduction strategies together with the estimated decrease in the cost as a result of implementing such strategies. The other party shall, within thirty (30) days of receipt of such notice, advise the proposing party in writing as to whether it agrees to proceed with proposed change in the specifications or production processes, and define the qualification plan and timeline. At the request of Purchaser, Supplier shall establish a value engineering team to work with Purchaser to identify and analyze all cost elements that impact Product costs and implement improvements. Each party shall be responsible for its own costs related to the staffing and activities of the value engineering team.
