ARTICLE 16 CONFIDENTIALITY
16.1 Information obtained by CONTRACTOR from OWNER and CONSULTANT, including all records or documents from OWNER and CONSULTANT pertaining to the WORK, as well as the final result of the WORK, shall be considered confidential. CONTRACTOR shall not, without prior written consent from OWNER, disclose to a third party or publish even in excerpt such information, records, documents or results, except:
16.1.1 Information which at the time of disclosure is generally available to the public.
16.1.2 Information which after disclosure becomes generally available to the public by other party which is not CONTRACTOR.
16.1.3 Information which CONTRACTOR can show was in its possession prior to disclosure hereunder and which was not acquired directly or indirectly from OWNER or CONSULTANT or as a result of performing WORK hereunder, provided that such disclosure does not break any undertaking of confidentiality.
16.2 CONTRACTOR undertakes that both during the term of this CONTRACT and for a period of thirty (30) years from the EFFECTIVE DATE it shall:
16.2.1 preserve and use its every reasonable efforts to cause its personnel to preserve the secrecy of any confidential information;
16.2.2 not disclose to any third party any confidential information except for the purpose of rendering the WORK in which case CONTRACTOR shall bind to secrecy such a third party in similar terms to that set forth under this Article 16.
16.2.3 not use any confidential information other than for rendering the WORK.
16.3 Subject to the right of third parties such as financial adviser, the copyright in any confidential record, supplied to CONTRACTOR under this CONTRACT shall, in the absence of any express provision to the contrary stated therein, be vested in OWNER.
16.4 Not Used.
ARTICLE 17 NOTICE OF COMPLETION, INITIAL ACCEPTANCE AND FINAL ACCEPTANCE PRODEDURE
17.1 When CONTRACTOR deems it has fully completed the WORK, it shall within ten (10) DAYs thereafter give a written NOTICE OF COMPLETION of the WORK to OWNER, specifying the WORK completed and the date it was completed.
17.2 Within thirty (30) DAYs after receipt of said NOTICE OF COMPLETION, OWNER may inspect the WORK and shall either reject the NOTICE OF COMPLETION or specify defective or uncompleted portions of the WORK, or shall give CONTRACTOR a CERTIFICATE OF INITIAL ACCEPTANCE.
