Retention Rebate – At the end of ye

Retention Rebate – At the end of year 3 of the agreement, 8% will be paid to any facility plant (existing and new) that is on the Ecolab program. The payment will be based on Year 3 sales dollars only (period of January 1, 2016 through December 31, 2016. This is a one time rebate, but should you should be accruing for this for at the beginning of Year 3.

Guaranteed TCO Savings Commitment for Existing Business – Ecolab guarantees to identify legitimate productivity/operational savings in the amount listed below:

Base Business:
Year 1 5% of annual combined C&S/WPS revenue
Year 2 10% of annual combined C&S/WPS revenue
Year 3 5% of annual combined C&S/WPS revenue

Productivity / operational savings projects are defined as, but not limited to, operational savings in water, energy, cleaning cycle time, production throughput, waste, chemical, labor, asset preservation and any other agreed upon productivity measure that the plant deems is achievable due to Ecolab’s efforts. If the guaranteed target is not meet, Ecolab will be required to reimburse the difference to PepsiCo. All projects must be stated and tracked in PepsiCo’s Power Steering program in order for us to get credit for the project. Please be sure to work with your local contacts to generate a tracking sheet and meet quarterly to review progress of the projects.

The values stated above are aggregate meaning that Ecolab must identify 20% over the 3 year contract period. Any overachievement in a single year will count towards the aggregate total.

Ecolab will take credit for any identified, legitimate savings ideas that are not implemented, provided that the projects meet PepsiCo internal hurdle rate standard or internal rate of return (IRR). The projects still need to be in Power Steering and tracked.

The operational savings for existing business only are for each country listed below and need to be tracked and achieved by country:

The operational savings for new business will be tracked as follows:
In the event that Ecolab wins business from another supplier, Ecolab will guarantee the productivity contained in their winning proposal. E.g. Should Ecolab believe that they are able to deliver 10% productivity for a specific activity currently owned by their competitor, they will on winning that business guarantee the achievement of that productivity and will pay to PepsiCo at the end of the first full year of operation the difference between the productivity achieved and the guarantee. Please again make sure the projects are tracked in PepsiCo’s Power Steering program.

Pricing information:
(i) Pricing for the Products will be fixed for the Term, however, the Parties agree to annually review and discuss various factors which impact the pricing of Local Supplier’s Products. Notwithstanding the foregoing, if at any time, and from time to time during the Term of this Agreement there is a significant shortage in critical raw materials used to produce some or all of the Products or if there is an extraordinary or significant increase in Local Supplier’s cost of certain of those critical raw materials, then the Parties will discuss in good faith and implement a change to help the Supplier offset the effect of any such shortage or cost increase; including, but not limited to, price increases. In addition, either Party shall have the right to notify the other that the Product prices, on a country by country basis, are uncompetitive due to economic turmoil (e.g. hyperinflation, hyper deflation). Within thirty (30) days of such notice, the Parties agree to engage in good faith discussions to reach a mutual agreement on an appropriate adjustment to the affected Product(s) prices, on a country by country basis. Further, if the currency of a country weakens against the USD by more than an annualized rate of five percent (5%) in any calendar quarter, then the Parties will discuss and mutually agree to adjust pricing appropriately for those affected Products. In addition, and notwithstanding anything to the contrary, Supplier may increase Product prices to the extent necessary to account for material increases in cross-border freight, duties, clearing fees, taxes, insurance and other distribution expenses. If the Parties are not able to promptly agree on a mutually agreeable change under any of the circumstances mentioned above, then Supplier has the right to (i) not supply the affected Product(s) and/or Services; or (ii) terminate the related country Companion Agreement upon ninety (90) days prior written notice to the relevant Eligible Recipient.
