1. Parties. This agreement (the “Agreement”) is made between Apinya Nakhowong (hereinafter “Client”), and White and Shepherd, LLP (hereinafter “Attorney”) effective as of April 21, 2015.
2. Legal Services Provided. Attorney shall provide the following services.
Review and conference with client regarding prenuptial agreement.
3. Responsibilities of Attorney and Client. Client agrees to be truthful, to cooperate with Attorney, and to keep Attorney informed of Client’s address, phone number and whereabouts and any relevant developments. Attorney agrees to keep Client informed of any relevant developments, to respond promptly to Client’s inquiries and to perform the legal services mentioned above. Attorney is required by Oregon law to keep all information regarding Client, its customers, prospects, and subsidiaries legal matters confidential and to protect Client’s identity and serve the best interests of Client.
Attorney will use due diligence in furthering Client's and/or Beneficiary's best interests under the laws. Attorney is liable to Client for Attorney's negligence or incompetence. However, Attorney makes no guarantee of the outcome of the case.
4. Attorney’s fees. The attorney’s fee is an hourly rate of $250 per hour. The client agrees to pay a retainer fee of $750 at the time of signing and agrees to pay the additional amount as billed at the end of each month and until the work is completed.
In the event of any unforeseen complications and the work to be done will exceed 3 hours of attorney time,
Attorney is required to contact the Client prior to incurring additional expenses and must reach an agreement with regard to the manner in which the case should proceed and discuss in advance any additional legal fees.
5. Costs. Client will pay costs, including court filing, copying and mailing fees.
6. Discharge of Attorney and Stoppage of Work by Attorney. Client may discharge Attorney at any time by written notice to Attorney. The discharge shall be effective upon receipt by Attorney. If proceedings have commenced, Client shall execute and return a substitution-of-Attorney form to be sent by Attorney. Notwithstanding the foregoing, Client shall be obligated to pay Attorney for all costs advanced by Attorney and all accrued Attorney’s fees (at an hourly rate of $250/hour).

7. Attorney's fees and costs in a dispute over this Agreement. In any action to enforce any provision of this Agreement, the prevailing party will be awarded reasonable attorneys' fees and costs. Both parties covenant and agree that any dispute regarding the fees charged in relation to the services provided under this agreement will be submitted to the Oregon State Bar Fee Arbitration Program for resolution. Both parties shall be bound by the decision of the Arbitrator.
8. Governing Law. This Agreement shall be subject to and interpreted in accordance with Oregon law.
We have carefully reviewed this contract and agree to and accept its terms and conditions. We are executing this Agreement as of the day and year first written above.
