Weak executive monitoring and accountability: due to corrupt shareholder activism by shareholders’ associations and the lack of vibrant institutional shareholders.
Corporate (private) corruption: between the board and managers, mostly at the expense of uninformed minority share- holders and other stakeholders. This allows for an opaque executive compensation structure which reinforces corporate corruption.
