The above is a general summary of the incentive that may be paid to you under the Profit Incentive Program for the 2014 plan year if the specified performance goal is achieved. However, the Profit Incentive Program Committee has the discretion to increase or decrease the amount of your incentive to reflect factors regarding performance that were not, in the opinion of the Profit Incentive Program Committee, appropriately reflected in the final calculation of your incentive. For example, if the Committee determines that you failed to adhere to the Company’s Code of Conduct, you may receive no incentive under the program.
In order to be eligible for any incentive, you must be on the payroll at the time that the incentive payment is made, unless otherwise specified in the Plan Document.
The actual eligibility requirements, benefits, terms, conditions, limitations and provisions that govern the Profit Incentive Program are contained in the Baker Hughes Annual Incentive Plan for Employees. The Plan document governs the administration of the program and the payment of benefits. In the case of any dispute, the information in the official Plan document will prevail.
