Conclusion
The KFTC had carried out investigation and deliberation, for 3 years, of any violation of the
Subcontract Act by Korea’s largest company. This case of Samsung Electronics’ unfair
subcontract transaction had attracted a lot of attention from the start of the KFTC’s decision
to the final judgment, 1) as this case is imposed with largest amount of surcharges regarding a
case of the Subcontract Act, reaching 11.5 billion KRW.
In terms of legal principles, 2) it is the first case clarifying the purpose of the contractor’s
duty to deliver written document and stipulating that the contractor has the responsibility to
verify justifiable reasons with respect to legal violations. In addition, 3) this is the first case to
rule on ‘without justifiable reason, setting the subcontract payment by reducing unit prices at
a uniform rate’ stipulated under Subparagraph 1, Paragraph 2, Article 4 of the Subcontract
Act. Even though there is no clarification about who should prove the justifiable reasons,
‘decreased price of raw materials from dramatic increase in trade volume, decrease in labor
cost and overall cost reduction’ were specified as objective and valid reasons that could
constitute ‘justifiable reasons’. In this regard, the ruling is very significant.
Moreover, 4) even if a subcontractor agreed to concede to undue delay in acceptance and
receipt of products, and even if some financial reimbursement or compensation by additional
orders occurred, such practice is deemed illegal, according to a strict interpretation of
Subparagraph 2, Paragraph 1, Article 8 of the Subcontract Act.
Moreover, 5) the plaintiff’s practice of confirmation of appropriateness of components
supplied by subcontractors after receipt of the specification sheet, and request of due
diligence of their service providers and suppliers was deemed to fall under management
interference. Article 12-3, the recently amended provision of the Subcontract Act, prohibits
any request of technical information. Therefore, the plaintiff’s receipt of technical
information by asking for the specification sheet shall be regarded as a request of technical
information rather than management interference under the current Subcontract Act.
Lastly, 6) in cases where only the employees of the plaintiff (and not the plaintiff itself)
obstructed the KFTC’s investigation, such obstruction was construed to be ‘pursuing the
plaintiff’s interest and in interference of the KFTC’, and thereby surcharges could be
increased or imposed with less discount.
Even though this case was a High Court judgment, it had a number of significant rulings on
important issues of the Subcontract Act, thereby becoming a milestone for important
decisions subsequently made by the Supreme Court.
