6.2 Unless and until consent to and/or required registration of the transfer, novation or assignment of the Contract is obtained or the Contract is novated, the Purchaser shall, for its own benefit and to the extent that the Contracts so permit, perform on behalf of the Vendor but at the Purchaser’s expenses, all the obligations of the Vendor arising after that Closing Date and indemnify the Vendor against all costs, proceedings, claims, demands and expenses which may be incurred by the Vendor as a result of any act, neglect, default or omission on the part of the Purchaser to perform or comply with any such obligations of the Vendor which falls to be performed after the Closing Date.
