"Intellectual Property Rights" shall mean any copyright, design or other trademark and trade name, patent or any application for any of the same, and any equivalent rights, whether registered or unregistered.
“Services” shall mean those services to be provided by the Agency to the Client, which are described in details in Schedule 1;
“Term” shall mean the term of this Agreement as defined in Clause 3;
2. AGREEMENT TO ACT AS THE ADVERTISING AGENCY
2.1 The Agency agrees to serve, as appointed by the Client, during the Term of this Agreement as the Client's advertising agency to provide Services hereunder for Samsung Corporate CRM brands/products for the territory of Thailand (“Territory”).
3. TERM
3.1 This Agreement shall come into force on 1st day of May 2015 (“Effective Date”) and shall remain valid, unless or until either Party terminates this Agreement in accordance with Clause 20.
4. AGENCY SERVICES
4.1 The Agency will provide to the Client the Services based on the “Scope of Work” as defined in Schedule 1 attached hereto.
4.2 The Agency will allocate suitable personnel with appropriate levels of experience and seniority to service the Client. The Client acknowledges and agrees that it may be necessary for the Agency to replace the personnel servicing the Client with alternative personnel with similar levels of seniority and experience.
5. CO-OPERATION
5.1 The Client will give the Agency an introduction of marketing and sales status with respect to the Client’s brands/products related to the Services hereunder and ensure that all the facts given are accurate. The Agency will co-operate fully with the Client and use reasonable care and skill to make the Advertising created by Agency for the Client comply with the requirements set forth in this Agreement. The Client will help the Agency to accomplish this purpose by making available to the Agency relevant information and co-operating with the Agency so far as it is reasonably practicable.
6. CORPORATE STATUS
6.1 The Client and the Agency each confirms that it is a legal person and the signatory of each of the Client and the Agency has been fully empowered to enter into this Agreement.
7. APPROVALS AND AUTHORITY
7.1 Any of the Client's written approvals referred in this Agreement shall mean written approval given by an Authorized Person of the Client (“Written Approval”).
