Confidential Information. The term “Confidential Information” means all information relating to the Hotel or the Transaction (whether in the form of documents, materials, computer media or otherwise and whether or not marked as confidential) provided by either Starwood or Owner (the “Disclosing Party”) or its affiliates, shareholders, investors, lenders or the shareholders, partners, members, trustees, directors, officers, employees, agents, lawyers, consultants, representatives and any other person acting for or on behalf of any of the foregoing (each a “Representative”), directly or indirectly to the other party (the “Receiving Party”) or its Representatives, whether provided before or after execution of this Letter of Intent, including without limitation (i) the existence of any discussions or negotiations, (ii) any proposed business terms, (iii) any due diligence materials and (iv) any form of Starwood's transaction documents, but expressly excluding information that is or becomes generally known to the Receiving Party through a source having the right to disclose such information on a non-confidential basis. Confidential Information includes copies, summaries, abstracts, compilations, analyses and other documents or materials produced by, for or on behalf of the Receiving Party or its Representatives based on any Confidential Information. The Disclosing Party shall retain exclusive ownership of Confidential Information and the Receiving Party shall not have any right or interest whatsoever in any of the Confidential Information of the Disclosing Party. This Letter of Intent does not create any obligation on any party to provide any Confidential Information to the other party and the Disclosing Party makes no representation, warranty or guaranty whatsoever with respect to any of the Confidential Information, including without limitation the accuracy or completeness of any such Confidential Information.
