3.1 The Service Receiver agrees to pay to the Service Provider the Service Fee payable in advance no later than on the 5th day of every calendar month throughout the Service Term. After the Service Provider’s receipt of each payment for the Service Fee, the Service Provider will issue a receipt to the Service Receiver for record-keeping. The first payment of the Service Fee shall be made by the Service Receiver on the date of signing this Agreement. The Service Fee shall be paid to the Service Provider at the Service Provider’s office, or at such other address to be prescribed or notified by the Service Provider.
3.2 Since the Service Commencement Date, the Service Receiver shall pay to the Service Provider and/or the Industrial Developer the Management and Maintenance fees, provided that the Management and Maintenance Fees shall be payable quarterly in advance.
3.3 In the month that the Service Receiver commences to use the Utility, which provided and/or procured by the Service Provider and/or any company assigned or designated by the Service Provider according to Schedule 1, the Service Receiver shall pay to the Service Provider and/or any company assigned or designated by the Service Provider the Utility Fee, at rates to be specified by the Service Provider and/or any company assigned or designated by the Service Provider and according to units of consumption recorded by the Utility meters (if any). The Utility Fee shall be payable monthly within 15 (fifteen) days of invoice date.
3.4 The Service Receiver consents the Service Provider and/or the Industrial Developer and/or any company assigned or designated by the Service Provider shall be entitled, upon giving notice, to increase the amount of the utilities rate as it deems appropriate provided that such rate so increased shall not exceed the maximum rate specified by Industrial Land.
4. Utilities
Each party shall comply with all of its duties and obligations as provided in Schedule 1 (Utilities) attached hereto.
5. Renewal of Service Term
Upon the Expiry Date of Service Term, the Service Receiver has an option to renew the Service Agreement on the same terms and conditions as stipulated in this Agreement, except for the Service Fee which shall be Baht 173,040 (Baht One Hundred Seventy Three Thousand and Forty only) (the “First Renewed Building and Land Agreement”).
However, if the Service Receiver desires to exercise the option of each renewal as specified in the above paragraphs of this Clause, the Service Receiver shall notify such intention by giving a written notice to the Service Provider before the Expiry Date of Service Term and/or the expiry date of the First Renewed Service Agreement, provided that each renewal shall be subject to the Service Provider’s discretion to consider the Service Receiver’s compliances with this Agreement and the Relating Agreement. If the Service Provider agrees with any of the Service Receiver’s renewal specified in the above paragraphs of this Clause, the Service Provider will inform the Service Receiver of a confirmation for the renewal prior to or upon the Expiry Date of Service Term or the expiry date of the First Renewed Service Agreement, as the case may be.
