Please find the revised draft of Letter of Undertaking in the attached file. Noted. Our Legal Team revised the draft base on Malaysia template and has concern as follows:
1. Clause 1
We found the opinion of RIAA law firm in the attachment mentioning that “The employee has a right to work for any competitor as long as he does not use the proprietary information of the former employer.”, it means that the sentence “During my employment period with the Company and for a period 1 year following the termination of my employment, I shall not, directly or indirectly, take any actions or accept or acquire any position in a company engaged in a business in competition with the Company involving Pulp and Paper Business in Pakistan...” in this draft is against with the law of Pakistan.
Therefore, our Legal Team will revise this clause to comply properly with Pakistan law, and we would like to ask your opinion concerning this matter before revision.
