Any inspection or failure to inspect shall not relieve the Vendor of any
obligations or liabilities with respect to the Goods nor be interpreted in
any way to imply acceptance thereof by the Purchaser.
8. Preparation for Shipment
Packing and preservation of the Goods shall be made by the Vendor in a
manner adequate to withstand transportation to the Plant site. Due regard
shall also be given to any special requirements contained in the
Purchaser's Shipping Instructions and General Packing and Marking
Instructions.
Marking and shipping of the Goods shall be made by the Vendor in
accordance with the Purchaser's Shipping Instruction and General Packing
and Marking Instructions. The Vendor shall be responsible for any loss
and damage caused to the Goods by improper packing and preservation
and shall at its own expense including export packing and transportation
costs to the Plant and as promptly as possible make all repairs,
replacements or supplements of the Goods as is necessitated by such loss
and damage.
9. Shipment
Arrangement of the shipment of the Goods shall be made in accordance
with the conditions and procedure set forth below and in the Shipping
Instructions and Packing and Marking instructions.
(a) ID case the Vendor is to arrange the carrier, the Vendor shall obtain
approval from the Purchaser before shipment to the designated place of
delivery and the planned schedule, and shall ship the Goods in accordance
with the approved schedule. The Vendor shall submit the shipping
documents to the Purchaser in accordance with the Shipping Instructions
and General Packing and Marking Instructions. The Vendor shall bear any
additional charges caused by late submission or error of shipping
documents issued by the Vendor, such as storage costs of the Goods al the
destination, additional import duty and any other additional costs of
transportation to the destination.
(b) In case the Piuchaser is to arrange the carrier (including forvrarder),
the Vendor shall furnish the Purchaser with the written description of the
Goods and all other information necessary for the arrangement of the
carrier in accordance with the Shipping Instructions and General Packing
and Marking Instructions. In case the Goods will be carried by sea, the
Purchaser may select either conventional vessel or container vessel at its
sole discretion and convenience, and in all cases the Vendor and the
Purchaser shall execute the work and bear the costs for shipping as
specified in the Shipping Instructions.
In order for the Purchaser to timely arrange the carrier, the Vendor shall
notify the Purchaser of the expected time of delivery of the Goods to the
loading place in accordance with the procedures set forth in the Shipping
Instructions. When the carrier has been arranged, the Purchaser will notify
the Vendor of the name of vessel and its estimated time of arrival at the
loading place in accordance with the Shipping Instructions, in response to
which the Vendor shall acknowledge that the Goods shall be ready for
shipment in time so as to meet the vessel arrival schedule. In the event
that demurrage and/or dead freight is charged to the Purchaser for reasons
attributable to the Vendor, the Vendor shall be wholly liable for any
resulting demurrage and/or dead freight and any other charges or costs
suiTered by the Purchaser. For the avoidance of doubt, the Vendor's
liability for such demurrage and/or dead freight shall be independent
from, and shall not alter its liability for liquidated damages for late
delivery under Clause 6 hereof
The Vendor shall deliver the Goods to the loading place designated in the
Purchase Order after confirming the latest schedule of the vessel with the
carrier's agent. Notwithstanding the foregoing, the Purchaser shall in no
event be responsible for any additional costs incurred by the Vendor due
to late arrival of the vessel by reason of bad weather and/or port
congestion, such as storage cost of the Goods at the loading place, or
additional transportation costs from the Vendor's shop(s) to the loading
place.
Should the Purchaser not provide a vessel on the advised date of
shipment, the Vendor shall undertake to store the Goods for thirty (30)
days at the Vendor's expense from the advised date of shipment. Upon
expiration of the above thirty (30) d^s, the Goods will be stored at the
Purchaser's account.
10. Deduction
Without prejudice to any other rights the Purchaser may have, the
Purchaser has the right to deduct the amount the Vendor owes to the
Purchaser, such as, but not limited to, liquidated dam^es set forth in
Clause 6, cost of remedial work at the site as provided in Clause 5, or
demurrage, dead frei^t, storage, or addiUonal transportation costs as
provided in Clause 8 and 9, from any payment due to the Vendor under
the Contract.
11. Assignment
The Vendor shall not assign or sublet the Contract in whole or in part
without Purchaser's prior written consent. The Vendor shall not assign
any money due or become due without the Purchaser's prior written
consent.
The Purchaser may, without the consent of the Vendor, assign the
Contract in whole or in part or any interest herein to the Client or any
party as designated by the Client, or to any of Purchaser's respective
affiliates.
12. Lien
The Vendor agrees to deliver the Goods free and clear of all liens,
encumbrances and claims of laborers or craftsmen, and if any such liens,
encumbrances or claims be attached, the Vendor agrees to indemnify and
hold harmless the Purchaser and the Client with regard thereto.
At Purchaser's option and request. Vendor's application for payment shall
be accompanied by waivers and/or releases of labor, material, and/or
equipment lien or claims, properly executed by all labor, subcontractors,
Vendors and others who may have lien or claim rights against the project
or any bond.
13. Infringement on Patent and Other Rights
To the extent that the design of the Goods has not been fiimished by the
Purchaser, the Vendor shall fully indemnify the Purchaser, its assigns,
successors and affiliates and the Client against any action, claim or
demand, costs and expense arising from, or incurred by reason of, any
infringement or alleged infringement of any letters patent or any other
protected rights in respect of any Goods supplied by the Vendor.
