4.3 Time to Remedy. Unless directed by Purchaser to the contrary, Supplier shall commence action to repair or replace the non-conforming Product or Off-Site Service as soon as reasonably possible. If Supplier fails to commence the remedial action within three days from receipt of Purchaser’s notice given under Section 4.2(A), Purchaser has the right to (A) remedy the non-conforming Product or Off-Site Service itself, (B) obtain a reasonably equivalent product or service elsewhere or (C) demand a refund of the full price of the non-conforming Product or Off-Site Service. In any case, Supplier is responsible for all reasonable costs incurred by Purchaser and Purchaser may recover these amounts immediately or by offset against any amounts that may become due under this Contract. If Purchaser determines that Supplier’s remediation plan is not adequate to meet Purchaser’s timing requirements, Purchaser may exercise any of the remedies set out in Section 4.
4.4 Warranty Exclusions. The warranties set out in Section 4 do not apply to the extent that Supplier demonstrates to Purchaser’s satisfaction that the non-conformity resulted from the improper handling, alteration, storage, operation, interconnection or installation caused by Purchaser or those acting on Purchaser’s behalf other than Supplier Group.
4.5 Warranties Not Limited. The warranties set out in Section 4 are in addition to any and all other warranties, whether express, implied or statutory, that may be applicable, including any implied warranties of merchantability, fitness for purpose or satisfactory quality.
