8.7 The payment of any fees under this agreement may be amended at any time by agreement between the parties to ensure, amongst other things, that the fees are at arm’s-length. In the event that it is determined that any fees paid under this agreement were higher than would have been paid had they been at arm’s length, then the party receiving such fees shall pay to the party paying the fees a sum equal to the difference between what it actually received and what it should have received had they both been at arm’s length. If it is determined that any fees previously paid under this agreement were lower than would have been paid had they been at arm’s length, then the party that paid such fees shall pay to the party that received such fees a sum equal to the difference between what it actually paid and what it should have paid had they both been at arm’s length
