Job Responsibilities:
Legal:
• Provide full legal support and advice and take legal action with respect to all corporate legal matters to the best interest of AMOS Thailand
• Responsible for the overall proceedings of the litigation portion
• Draft, review and negotiate AMOS Thailand’s contractual agreements to ensure that the company’s best commercial and contractual position is attained.
• Coordinate with third party advisors to conduct legal due diligence with respect to potential targets and provide legal opinions.
Corporate Secretary:
• Facilitate the smooth arrangements for meeting of the Board of Directors and the Shareholders. Ensure that the meetings conform to relevant laws and regulations and best practices.
• Manage, prepare and maintain any documents used for Board and Shareholder meetings and to liaise with the relevant authorities.
• Prepare all AGM/ EGM documentation and ensure that the AGM/ EGM meeting is held in accordance with local requirements.
Risks & Compliance:
• Monitor changes in Thai legislation and notify the management of any implication to AMOSTH
• Implement Allianz Group compliance schemes
Work permit, visa application and other immigration topics:
• Assist in work permit/visa application and cancellation
Qualifications:
• Minimum Bachelor's Degree in Law, Lawyer License is preferable.
• At least 5 years relevant legal experience gained at a reputable Thai law firm and/or as in-house lawyer with exposure to the Region.
• Proficiency in corporate law, BOI, labor and union related law, business laws.
• Self-motivated and confident, able to negotiate and manage conflict
• Abilities to prioritize and meet deadlines with initiative and drive
• Possesses strong communication and interpersonal skills
• Ability to work both as a team and independently
• Fluent/Highly Competent in English and Thai (spoken and written)
